Requirements
To register your company in Ghana, please prepare the following:
- Proposed Name of the Operating Company
- Details of First Directors:
- At least 2 directors required
- Preferably one director should be Ghanaian or have a work permit/be resident in Ghana for bank account opening purposes
- Details of Company Secretary:
- Can be a lawyer, accountant, trained secretary, or any of the directors
- Details of Auditor:
- If not provided, one will be appointed for you
- Company's Registered Address and Postal Address
- Stated Share Capital:
- Provide the number of authorized and issued shares
- Details of Shareholders and Number of Shares Held
- Tax Identification Number (TIN) of Shareholders, Directors, and Secretary:
- If not available, this can be applied for at an additional cost
- Objects of the Company
Required Documentation:
- Notarised Incorporation documents of the parent company showing the shareholders
- For corporate shareholders, details of the beneficial owner of the shares
- Copies of passports and digital photographs of the directors, shareholders, and secretary
Notes:
1. Companies with 100% foreign participation are required to have a paid-up share capital of $500,000. Companies partly owned by Ghanian locals can have a paid-up share capital of $200,000.
2. All companies are required to pay stamp duties of 0.5% of the applicable paid-up share capital at the point of incorporation. We use GHS 4,000,000 as the stated capital for our users in order to meet the minimum share capital requirement for a foreign-owned company and the stamp duty is usually around GHS 20,000. 1 This is about $2,500 depending on the exchange rate at the time of incorporating the company. This is not included in our fees and will be invoiced separately..
3. It is required that once a foreign company is registered in Ghana, has its bank account, and begins to carry out business operations in Ghana, it must register with the Ghana Investment Promotion Centre (GIPC) and will be required to show evidence of its capital investment of $500,000 (the stated share capital earlier mentioned). This requirement is important and has become almost impossible to bypass now that the Ghanian government has synchronized the regulatory bodies for companies. As it stands, the regulators become
notified when a company is registered and its details are
automatically entered into their system.
4. For Foreigners to operate a bank account, the signatory must either be a Ghana national/resident or be a foreigner with work and residence permit. We are able to help process this for a fee.
